PRIVATE PLACEMENT

The Company announces that it intends to proceed with a private placement of up to 1,000,000 units at a price of $0.10 per unit. Each unit will be comprised of one common share and one non-transferable two-year share purchase warrant entitling the holder to acquire one additional share at a price of $0.10 per share. Finder�s fees may be paid either in cash or in shares in connection with this placement except in the case of non-arm�s length purchasers, if any. This placement may be partially non-arms length. Units placed hereunder will be subject to a four-month hold period. The net proceeds of the private placement (up to C$100,000 less any finder�s fees paid in cash) will be added to the Company�s working capital.

This private placement is subject to the prevailing policies and required approvals of the CDNX.
